Welcome to VerityKe ("Verity", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of our credit sales management platform designed specifically for small and medium enterprises (SMEs) in Kenya.
By creating an account or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

By using VerityKe, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you and VerityKe.
3. Account Registration and Eligibility
3.1 Eligibility Requirements
To use our Service, you must:
- Be at least 18 years of age
- Operate a registered business in Kenya or have legal authorization to conduct business
- Have the authority to bind your business to these Terms
- Provide accurate and complete registration information
3.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access or security breach
- Ensuring team members with access maintain appropriate security practices
4. Service Description
VerityKe provides a software platform designed to help Kenyan SMEs manage credit sales operations. Our services include:
- Credit Sales Management: Record and track credit sales transactions with customers
- Payment Tracking: Monitor customer payments and outstanding balances
- Customer Database: Maintain comprehensive customer profiles and transaction histories
- Reporting and Analytics: Generate insights on sales performance and credit management
- Team Collaboration: Enable multiple team members to access and manage business data
5. Financial Services Disclaimer
5.1 Not a Financial Institution
IMPORTANT: VerityKe is a software platform for record-keeping and management. We are NOT:
- A bank or financial institution
- A licensed credit provider or lending service
- A payment processor or mobile money service
- A debt collection agency
- Regulated by the Central Bank of Kenya (CBK) as a financial services provider
5.2 Your Responsibilities
As the business owner, you are solely responsible for:
- Determining credit terms, limits, and conditions for your customers
- Managing credit risk and customer creditworthiness assessments
- Complying with all applicable Kenyan laws regarding credit sales and consumer protection
- Collecting payments from customers
- Maintaining accurate financial records
- Filing appropriate tax returns and complying with Kenya Revenue Authority (KRA) requirements
6. Subscription and Payment Terms
6.1 Free Trial
New users receive a 30-day free trial with full access to all features. During the trial, our team will reach out about activating your account. Your trial automatically expires after 30 days unless you activate by signing up for a paid subscription through a contract.
6.2 Subscription Plans
Subscription fees are based on the plan selected (1-year or 3-year contracts). All fees are in Kenya Shillings (KES) and are billed according to your contract terms. Usage limits (team members, customers, transactions) vary by plan.
6.3 Payment Methods
Payments can be made via M-Pesa, bank transfer, or other approved methods. All payments are processed securely and are non-refundable except as required by law.
6.4 Late Payment and Suspension
If payment is not received by the due date:
- You will receive email notifications about overdue payment
- Your account may enter a grace period with limited functionality
- After the grace period, your account may be suspended
- Extended non-payment may result in account termination and data deletion
7. Data Ownership and Usage
7.1 Your Data
You retain all ownership rights to your business data, customer information, and financial records. We do not claim ownership of any data you input into the Platform. Upon termination, you may export your data in standard formats.
7.2 Data Accuracy
You are responsible for the accuracy and completeness of all data entered into the Platform. We provide tools to help manage your data but cannot guarantee the accuracy of information you input.
7.3 Data Protection
We implement industry-standard security measures to protect your data. However, no system is completely secure. See our Privacy Policy for detailed information on how we collect, use, and protect your data in compliance with the Kenya Data Protection Act, 2019.
8. Acceptable Use Policy
You agree NOT to:
- Use the Service for any illegal purpose or to violate Kenyan laws
- Engage in fraudulent or deceptive practices
- Upload malicious code, viruses, or harmful software
- Attempt to gain unauthorized access to our systems or other users' accounts
- Reverse engineer, decompile, or attempt to extract source code
- Resell or redistribute the Service without written permission
- Use the Service to harass, abuse, or harm others
9. Intellectual Property Rights
The VerityKe platform, including all software, design, text, graphics, and trademarks, is owned by us and protected by Kenyan and international intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the Service for your business purposes only.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY KENYAN LAW:
The Service is provided "AS IS" without warranties of any kind. We do not guarantee that:
- The Service will be uninterrupted or error-free
- All data will be accurate or complete
- The Service will meet your specific business requirements
WE ARE NOT LIABLE FOR: Any indirect, incidental, special, or consequential damages including lost profits, business interruption, or data loss. Our total liability for any claim related to the Service is limited to the amount you paid us in the 12 months before the claim arose.
11. Indemnification
You agree to indemnify and hold harmless VerityKe from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of another party.
12. Termination
12.1 By You
You may terminate your account at any time by contacting our support team. Contract commitments remain binding until the contract end date.
12.2 By Us
We may suspend or terminate your account if you breach these Terms, engage in prohibited activities, or fail to pay subscription fees. We will provide reasonable notice unless immediate termination is required for security or legal reasons.
12.3 Effect of Termination
Upon termination, your access to the Service will cease. You have 30 days to export your data. After this period, we may delete your data from our systems. Paid subscriptions are non-refundable upon termination.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Republic of Kenya. Any disputes shall be resolved through good faith negotiation. If negotiation fails, disputes shall be submitted to arbitration in Nairobi, Kenya, in accordance with the Arbitration Act, 1995, or resolved in the courts of Kenya.
14. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes via email or in-app notification at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.
